General Terms and Conditions (GTC)

These general terms and conditions (hereinafter referred to as “GTC”) of GOLDENWAY AG (hereinafter referred to as “Seller”) apply to all orders and deliveries and services provided on the basis of these orders to the private or business customer (hereinafter referred to as “Customer” or “Purchaser”).

1. Scope, Definitions

The following terms and conditions, in their version valid at the time of the order, apply exclusively to the business relationship between the seller and the customer. Any differing terms and conditions of the customer are not accepted. This also applies if the seller does not expressly object to their inclusion.

All information provided by the customer during the ordering process must be current and truthful. The customer must not disclose their password to third parties, must keep it secure and inaccessible to unauthorized persons, and must immediately notify the seller in writing of any loss or disclosure. The customer is liable for any misuse, such as any unauthorized orders placed by third parties using the customer's password, and any resulting claims, in accordance with applicable laws.

A customer is a consumer if the purpose of the ordered delivery and/or service cannot be attributed to their commercial or self-employed professional activity. Conversely, an entrepreneur is any natural or legal person or legally capable partnership that, when concluding the contract, is acting in the course of their commercial or self-employed professional activity.

2. Conclusion of the contract

Offers, including the registration of a customer account, are intended for persons who have reached the age of 18. If the buyer is under 18, the supervision and consent of a parent or legal guardian is required to use the offers.

The presentation of products in the online shop does not constitute a legally binding offer to conclude a purchase agreement. Customers can select products from the supplier's range and add them to a virtual shopping cart by clicking the "Add to Cart" button. After reviewing their selection in the shopping cart and making any necessary changes (e.g., regarding the quantity of desired products), the customer confirms their selection and proceeds to checkout by clicking the "Checkout" button. There, new customers can register for an account in the online shop, or existing customers can log in using their existing account details (email, address, and password). After logging in, the customer selects their payment method and can edit their product selection and entered data. By clicking the "Place Order" button, the customer submits a binding offer to purchase the goods in their shopping cart.

Orders are placed by submitting the completed online order form, by telephone, or via email. The contract is only concluded upon delivery of the goods, regardless of confirmation of receipt of the order.

Prices are in Swiss francs. All prices include VAT.

3. Online Shop Registration

The login details must not be shared with third parties and must be kept secure and inaccessible to unauthorized persons. The seller must be notified immediately of any loss of or unauthorized access to the login details. The customer is liable under applicable law for any misuse of their login details by third parties, e.g., for placing orders and any resulting claims.

Order processing and communication generally take place via email and automated order processing. The customer is responsible for ensuring that the email address provided for order processing is correct and that emails sent by the seller can be received at that address. In particular, if using spam filters, the customer must ensure that all emails sent by the seller or by third parties commissioned by the seller for order processing are delivered.

4. Prizes

Price fluctuations due to raw material or currency fluctuations are possible at any time. The price quoted at the time of contract conclusion is decisive.
Unless otherwise stated in the seller's product description, the prices quoted are total prices including VAT. Any additional delivery and shipping costs are specified separately in the shipping terms. All prices are quoted in CHF.

5. Payment terms

Payments must be made in Swiss francs.

5.1. Cash payment

Cash payment is only possible in the case of in-store pickup.

5.2. Electronic payment methods

The online shop accepts Visa and Mastercard credit cards, TWINT, and debit cards (Postcard) as payment methods. Payment by credit or debit card is processed directly upon ordering the goods.

The branch accepts Visa and Mastercard credit cards, as well as debit cards (Postcard). Payment by credit or debit card is processed immediately upon transaction.

5.3. Paypal

When using the payment service provider 'PayPal', payment processing is handled by PayPal (Europe) S.à rl et Cie, SCA, 22-24 Boulevard Royal, L-2449 Luxembourg, subject to the PayPal Terms of Use, which can be viewed at www.paypal.com . This requires, among other things, that the customer opens a PayPal account or already has one.

5.4. Invoice

Purchase on account with partial payment option (POWERPAY)

MF Group / POWERPAY, as an external payment service provider, offers the payment method "purchase on account." With a single invoice, you can easily pay for your online purchase by invoice. If you do not pay within the specified timeframe, you will subsequently receive a monthly statement with an order summary in the following month.

Upon conclusion of the purchase agreement, POWERPAY assumes the resulting invoice claim and handles the corresponding payment processing. When purchasing on account, you accept POWERPAY's terms and conditions in addition to our own (powerpay.ch/de/agb).

6. Delivery and deadlines

The goods will only be delivered to postal addresses in Switzerland. The buyer is obligated to accept and pay for the goods.

The seller is entitled to make partial deliveries and will decide on the number and size of individual packages depending on the volume and weight of the order. Missing items will be delivered free of charge or credited.

Delivery usually takes place within 2-3 days of receiving the order. Any delivery delays are possible and will be communicated to the customer as soon as possible. The seller accepts no liability for transport damage, especially in the case of transport delays. Claims for such damage must be made directly with the respective transport company.

Packages are generally shipped only from Monday to Thursday. In urgent cases, the buyer can order express or courier delivery (Monday to Saturday). The buyer is responsible for any additional costs incurred.

For shipments on public holidays or outside of regular shipping days, delivery will automatically be postponed to the next regular shipping day. Only official public holidays of the Canton of Zurich are taken into account.

The buyer selects a delivery address where they or an authorized representative can receive the package. The seller authorizes the delivery service (e.g., postal service) to leave the delivery in front of the entrance.

6.1. Shipping conditions

Your order will be shipped via Swiss Post using PostPac Priority or Mond-Express. Shipping costs consist of postage and packaging per order.

The shipping costs per order are:

Standard shipping CHF 13.60
Express shipping CHF 24.90

Standard shipping is free for orders over CHF 250, excluding express shipping.

Large orders exceeding 80 kg are considered freight deliveries and may be shipped via a freight forwarding company. The seller charges a flat rate of CHF 89.00 for freight deliveries. Goldenway will contact the retailer to schedule a delivery appointment during normal business hours. Retailers may be charged for missed delivery appointments.

6.2. Complaints

The goods must be inspected immediately upon receipt for accuracy, completeness, and integrity. Any transport damage must be reported and documented immediately, and no later than three calendar days after receipt (ideally, photos should be sent by email to info@goldenway.ch). The seller accepts no liability for defects reported too late. The amount paid for the defective goods will be credited to the customer's account. The seller reserves the right to request proof of the defect before issuing the credit.

6.3. Return of goods

Although there is no statutory right of return in Switzerland, the seller will in any case endeavor to grant the buyer a voluntary right of return, whereby the following points apply:

All returns must be announced in advance via email (info@goldenway.ch). The seller will review the return and inform the buyer of the correct return address and further procedure via email. To process the return, please include the order and item numbers, quantities, and reason for return in your email.

The buyer is responsible for all shipping costs. The seller will also cover the shipping costs in the event of incorrect or incomplete deliveries.

7. Redeeming vouchers and credit balances

The redemption conditions for vouchers depend on the respective promotion. In case of discrepancies between the redemption conditions of a promotion and these terms and conditions, the redemption conditions of the respective promotion shall prevail.

Unless explicitly stated otherwise, the following conditions generally apply to the redemption of vouchers:

Vouchers cannot be combined with other discount promotions or other credits/credits, as well as breeder, expert discounts and dealer prices.

Subsequent crediting or cash payment of vouchers is not possible.

The buyer is not authorized to publish voucher codes on their private website, blog, or social media profile. Publishing voucher codes on commercial websites or third-party sites, such as voucher sites, deal blogs, or forums, is not permitted.

7.1. Warranty

If the buyer provides evidence of defects in the delivered goods, the seller will, within a reasonable time, either remedy the defects or provide a replacement. If the seller is unable to do so, the buyer has the right, at their discretion, to cancel the purchase or reduce the purchase price.

The warranty excludes defects and malfunctions for which the seller is not responsible, such as natural wear and tear, force majeure, improper handling, interventions by the customer or third parties, excessive use or extreme environmental influences.

7.1.1. Warranty and guarantee for frozen products

The seller guarantees that the cold chain will be maintained until the package is handed over to the shipping company. After that point, and until the end of the specified delivery period, the shipping company is responsible; thereafter, liability for the package and its contents passes to the buyer.

In exceptional cases where the shipping company delays delivery, the goods may arrive thawed. Even thawed frozen goods do not suffer any loss of quality and can usually be refrozen.

Products whose intrinsic quality (e.g., taste or appearance) does not meet the buyer's requirements, as well as fresh products, vegetable mixes, etc., that are spoiled because the buyer received them too late, and products ordered by mistake, will not be refunded.

8. Subscription

If the buyer selects the subscription option during the ordering process, he automatically concludes a contract for the recurring delivery of goods without a minimum term (hereinafter also referred to as "subscription").

The minimum order value for a subscription is CHF 49.90.

The buyer may cancel or modify the subscription at any time in writing (letter or email) up to 5 business days before the next shipment. The buyer shall bear any additional costs incurred due to late cancellation.

9. Transfer of Risk

The risk passes to the buyer as soon as the shipment has been handed over to the person carrying out the transport. If the shipment is delayed or becomes impossible through no fault of our own, the risk passes to the buyer upon notification of readiness for shipment. An agreement in individual cases for the seller to bear the transport costs does not affect the transfer of risk.

10. Liability

Claims for damages due to errors in images, prices, and texts, or due to delayed or non-delivery, are strictly excluded. The color of the products shown in the online shop may differ from the actual product color.

The goods shipped are purely natural products. Appearance, size, and consistency may therefore vary.

During a telephone consultation or an in-store consultation, decision-making criteria or product suggestions are developed, including recommended actions or proposals. The implementation of these actions, the purchase of the products, and their consequences are the sole responsibility of the buyer.

11. Retention of title

The goods remain the property of the seller until full payment has been received.

12. Final Provisions

The place of jurisdiction is Zurich. Swiss law applies exclusively, even if the order is placed from abroad. The parties will endeavor to settle any disputes arising from the performance of this contract amicably. By placing an order, the customer accepts these terms and conditions.

Changes or additions to the general terms and conditions are made exclusively by the seller.
